Terms of Service
These Terms of Service (the “Terms”) govern your access to and use of the Credx lending management platform, websites, and related services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms.
1. Definitions
- “Account” means a unique account registered to access the Service.
- “Customer Data” means any data, documents, or content you submit to the Service, including debtor information, loan files, and branch data.
- “We,” “Us,” “Our” refers to Credx as the service provider.
2. Acceptance; Eligibility
You must be at least the age of majority and have the authority to bind the entity you represent. If you are accepting on behalf of an organization, you represent that you have full authority to do so.
3. Accounts and Security
- You agree to provide accurate, current, and complete information when creating an Account and to keep it updated.
- You are responsible for safeguarding your credentials and for all activities under your Account. Notify us promptly of any unauthorized access.
4. Subscriptions; Fees
Plan features and limits are described on the Site (e.g., Free and Silver). The Silver plan is billed at Php 2,000/month per branch, unless otherwise agreed in writing. We may modify fees upon prior notice. Unless prohibited by law, fees are non‑refundable.
5. Permitted and Prohibited Use
- You may use the Service solely for lawful internal business purposes related to lending operations.
- You shall not: (a) reverse engineer or interfere with the Service; (b) circumvent technical measures; (c) use the Service to process unlawful, harmful, or infringing content; (d) exceed plan limits through scraping, automation, or reselling; (e) use the Service in violation of applicable lending, data protection, or consumer laws.
6. Customer Data
- You retain all rights in Customer Data. You grant us a limited, worldwide, non‑exclusive license to host, process, and display Customer Data only to provide and improve the Service.
- You are responsible for the accuracy, legality, and means of obtaining Customer Data, including any necessary consents and notices.
7. Privacy
Our processing of personal information is described in the Privacy Policy, which is incorporated into these Terms.
8. Intellectual Property
- We own all rights, title, and interest in and to the Service, including software, documentation, designs, and trademarks, excluding Customer Data.
- No rights are granted except as expressly stated in these Terms.
9. Confidentiality
Each party may receive non‑public information from the other. The receiving party will protect such information using reasonable care and not disclose it to third parties except as necessary to perform under these Terms or as required by law.
10. Third‑Party Services
The Service may interoperate with third‑party products or services. We are not responsible for third‑party terms, actions, or availability.
11. Warranties; Disclaimers
- The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non‑infringement.
- We do not warrant that the Service will be uninterrupted, error‑free, or meet your requirements.
12. Limitation of Liability
- To the maximum extent permitted by law, in no event will we be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenues, data, or goodwill, even if advised of the possibility of such damages.
- Our aggregate liability arising out of or related to the Service shall not exceed the total amounts paid by you to us for the Service in the twelve (12) months preceding the event giving rise to liability, or Php 50,000 if you are on the Free plan.
13. Indemnification
You will defend, indemnify, and hold harmless us and our affiliates, officers, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, Customer Data, or breach of these Terms.
14. Suspension; Termination
- We may suspend or terminate your access for breach, security risks, non‑payment, or unlawful use. You may terminate at any time by discontinuing use.
- Upon termination, your right to access the Service ceases. We will make commercially reasonable efforts to allow export of Customer Data for a limited period, unless legally prohibited.
15. Governing Law; Dispute Resolution
- These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict‑of‑law principles.
- Any dispute will first be negotiated in good faith for 30 days. If unresolved, disputes shall be submitted to the courts of Metro Manila, Philippines, which shall have exclusive jurisdiction.
16. Changes to the Service or Terms
We may modify the Service or these Terms from time to time. Material changes will be notified via the Service or email. Continued use after changes become effective constitutes acceptance.
17. General
- Entire Agreement. These Terms and any referenced policies are the entire agreement between you and us regarding the Service.
- Severability. If any provision is unenforceable, the remaining provisions remain in effect.
- No Waiver. Failure to enforce a provision is not a waiver.
- Assignment. You may not assign these Terms without our prior written consent.
- Notices. Notices may be provided via the Service or to your registered email. You may contact us via the Contact form.
